Acibadem and Orka Holding Buy Bulgaria's Largest Healthcare Institution Tokuda

Through the Clinical Hospital 'Acibadem Sistina', the company 'Orka Holding', together with the Turkish Acibadem Healthcare Group, signed an agreement Thursday for purchasing the biggest health facility in Bulgaria-the Japanese hospital 'Tokuda', along with its subsidiary branch 'Tokuda Group'. 
The partners also signed a merger agreement with 'City Clinic', the second health operator in Bulgaria, that owns 3 hospitals and three outpatient clinics.

Through the 'Tokuda' transaction, the companies took over a 100 percent of the shares of the 'Tokuda Group', while the 'City Clinic' transaction is a combination of taking over of one third of the holdings from current stakeholders and a shift of shares from current stakeholders to a new combined entity.

After the transaction, 76.5 percent of the shares of the newly-formed holding (SPV) belong to 'Acibadem' and 'Orka Holding'(through 'Acibadem Sistina'), while 23.5 percent belong to the stakeholders of 'City Clinic'. The value of the transaction and the newly-formed company is estimated at EUR 125 million.'

'City Clinic' is a world-class facility opened in 2012. City Clinic is the most modern private hospital in Bulgaria with implementation of unique information technology solutions by CISCO systems, e-Administration of the entire treatment process, specialized medical departments, a modern cardiovascular center and unique Imaging Diagnostic equipment. It manages 3 clinics and 3 outpatient centers. 

City Clinic has received accreditation by Joint Commission International and is the first hospital in Bulgaria and in the region achieving such accreditation. It dominates the market for cardiovascular and cancer care in the country.  

Tokuda Hospital Sofia was officially opened on 29th of November 2006. It is the first hospital in Bulgaria, which is 100 percent foreign investment. It is a part of the international medical chain Tokushukai Medical Corporation and is named after its owner Dr. Torao Tokuda. 

Tokuda Hospital Sofia is the first international venture of the Tokushukai Medical Corporation, which incorporated in 1975 and is the world’s largest private medical service provider with over 280 medical facilities operating in Japan and one general hospital in the capital city of Bulgaria, Sofia.  

The hospital is built on 52 000 square meters building area in the south part of the Sofia’s housing district Lozenetz. It has 11 floors, one of which is underground. The medical equipment is state-of-the-art and is renewed constantly according to the world innovations in medicine. 

The structure of the hospital is multidisciplinary and almost all medical disciplines are covered here. It has over 30 Clinics and Departments, 3 surgery wards and 22 operating theaters, equipped with modern medical installations. The Hospital has 1000 beds totally adapted to the individual needs of the patients.

He also announced that within the strategy of Acibadem and Orka Holding, four new hospitals are planned to be open on the Balkan in two years.

The two transaction will lead to the creation of the largest private provider of healthcare in Bulgaria, and one of the leading healthcare institutions in Central and East Europe. That will reinforce the global brand of Acibadem, the clinical and surgical perfections, and the "know-how" positions on the market of Tokuda and City Clinic, the high quality service and reputation.

This combined, integrated health group, will be working under the name Acibadem City Clinic, with Mehmet Ali Aydinlar as president of the Management board, and Ilian Grigorov as Executive manager.

"The transaction is in accordance with the strategy of Acibadem to focus on the key fast-growing economies in Central and East Europe, and the Balkan Region. Acibadem has seen the necessity for qualified and high-tech healthcare services in Bulgaria, and has realized this transaction with that goal. Taking into consideration that Acibadem is a globally renowned brand, with well designed clinical processes, sophisticated management and operational approach, through these four hospitals, Bulgaria will become a country which offers first class, world healthcare services, and will become center of attention in the region, said Mehmet Ali Aydinlar, CEO of Acibadem.

Arthur Stern, on the other hand, representative of Tokushukai Medical Group, has stated that he is proud of the leading position of Tokuda Sofia, as of its opening, almost 10 years ago, until this day.

"The success of Acibadem, through its proven experience will provide this hospital the opportunity to resume its leading role focused toward providing the highest international standards for the patients' care," Stern said.

Ilian Grigorov, executive manager of City Clinic, pointed that he staff will continue to work according to the highest standards.

"This transaction is a recognition for the great efforts of the doctors, the nurses, the healthcare workers, and the rest of the City Clinic personnel, who have worked so hard, and will continue to do so in the best interest of the patients in Bulgaria. We will continue to enable the highest standards of quality healthcare services, through meaningful synergies and supports of the Acibadem group," Grigorov said.

The transaction on a global level increases the number of beds of Acibadem to over 3,500 in 22 hospitals in three countries. The contract is expected to be sealed in 3 months, after the necessary approvals are received, and certain conditions are fulfilled.
